What Is Beneficial Occupancy?

Beneficial occupancy means the owner is using the building, or a part of it, for the purpose it was built. It is a contract and business milestone. It is not, by itself, a certificate of occupancy, and it is not automatically substantial completion. The agreement should say what the date triggers.

Definition

Beneficial occupancy

An owner can have a temporary certificate and still not be in beneficial occupancy if they have not moved in. An owner can also be using a building under a TCO. Substantial completion is the contract's statement that the work is ready for its intended use. Beneficial occupancy is the owner actually using it. They often happen together. When they do not, warranties, insurance, security, and liquidated damages need a written rule. Partial beneficial occupancy of one wing is common. Define the area.

Keep three dates straight

Substantial completion: the architect agrees the work is ready for use. TCO or CO: the city agrees people may occupy. Beneficial occupancy: the owner actually does. Write all three in the log. They answer different questions.

Liquidated damages usually look at substantial completion. Insurance and the correction period may look at that date or at occupancy. Read the clause. Do not use one phrase for all three.

Partial use is still use

If the owner staffs one floor, that floor is in beneficial occupancy. Protection of the remaining work, access, and cleaning are contract issues. The partial-occupancy procedure in the general conditions is there for this.

Utilities, security, and maintenance transfer for the occupied part should be listed, or the contractor will keep paying and the owner will assume they transferred.

Use does not legalize occupancy

Moving furniture in before a TCO is not beneficial occupancy the city recognizes. It is occupancy without a certificate. The contract milestone cannot waive the code.

The contractor should not be pressured to hand over keys the city has not allowed the owner to use.

The building changes hands operationally

The owner's staff, the warranty call list, and the O&M manuals need to be ready before the date, not the week after.

Beneficial occupancy without manuals is how small failures become disputes about maintenance versus defect.

    The architect certifies substantial completion on Friday. The city issues a TCO the same day. The owner moves staff in on Monday. That Monday is beneficial occupancy.

    One wing opens under a partial TCO. Warranties for that wing start as the contract's partial-occupancy clause provides. The other wing is still under construction.

    The owner wants to move in before the TCO. The contractor does not turn over the space. Beneficial occupancy waits for the certificate.
